1. Acceptance of Terms

By downloading, installing, or using the Dune Fitness mobile application (the "App"), you agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you and Strand Ventures, LLC ("Company," "we," "us," or "our"), a California limited liability company. If you do not agree to these Terms, do not use the App.

These Terms apply to all users of the App, including individuals using the App for personal fitness tracking ("Users") and certified personal trainers using the App to manage clients ("Trainers").

2. Eligibility

You must be at least 13 years of age to use the App. By using the App, you represent and warrant that you are at least 13 years of age. If you are under 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

We do not knowingly collect personal information from children under the age of 13. If we become aware that a user is under 13, we will terminate that user's account and delete all associated data.

3. Account Registration

To access certain features of the App, you must create an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify us immediately at support@dunefitness.co of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

4. Prohibited Activities

By using the App, you agree not to engage in any of the following activities:

Use the Services to misrepresent your qualifications as a fitness professional or personal trainer.
Use the Services to provide medical diagnoses or medical advice to other users.
Use the Services to harass, abuse, or harm other users, including within trainer-client relationships facilitated through the platform.
Attempt to reverse engineer, copy, or reproduce any proprietary fitness algorithms, calculations, or features of the Services.
Use the App for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation.
Upload, transmit, or distribute any content that is unlawful, defamatory, obscene, or otherwise objectionable.
Interfere with or disrupt the integrity or performance of the App or its underlying infrastructure.
Attempt to gain unauthorized access to any part of the App or its related systems.
Use automated scripts, bots, or other means to access or scrape data from the App.

5. Trainer-Client Relationships

Dune Fitness enables Users to connect with independent personal trainers through the App. Trainers are independent third parties and are not employees, agents, or contractors of Strand Ventures, LLC. Trainer credentials and certifications are self-reported and are not verified, endorsed, or warranted by Strand Ventures, LLC.

Any fitness programming, instructions, or guidance provided by Trainers to clients through the App reflects the independent professional judgment of those Trainers and does not represent the advice, recommendations, or endorsement of Strand Ventures, LLC. Users engage with Trainers entirely at their own risk. Strand Ventures, LLC expressly disclaims all liability arising from the trainer-client relationship facilitated through the App.

6. Subscriptions and Payments

Certain features of the App are available through paid subscription plans. By subscribing, you authorize us to charge your payment method on a recurring basis at the then-current subscription rate. All fees are stated in U.S. dollars and are non-refundable except as required by applicable law or as expressly stated in these Terms.

We reserve the right to modify subscription pricing at any time. We will provide notice of any pricing changes prior to the change taking effect. Your continued use of the App after a pricing change constitutes your acceptance of the new pricing.

You may cancel your subscription at any time through your account settings or the applicable app store. Cancellation will take effect at the end of the current billing period. We do not provide refunds for partial subscription periods.

7. Intellectual Property

The App, including all content, features, functionality, design, text, graphics, logos, and software, is owned by Strand Ventures, LLC and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of the App or its content, nor may you reverse engineer or attempt to extract the source code of the App, without our prior written consent.

8. User Content

You retain ownership of any personal data, fitness logs, and other content you submit to the App ("User Content"). By submitting User Content, you grant Strand Ventures, LLC a limited, non-exclusive license to use, store, and process your User Content solely for the purpose of providing and improving the Services.

You represent and warrant that your User Content does not infringe the rights of any third party and that you have all necessary rights to grant us the license described above.

9. Fitness Disclaimer and Limitation of Liability

Dune Fitness is a fitness tracking and workout logging application provided for informational and personal use only. Nothing in the Services constitutes medical advice, medical diagnosis, clinical treatment, or a substitute for consultation with a qualified physician or licensed healthcare provider.

All fitness metrics generated by the Services, including but not limited to calorie estimates, estimated one-rep maximums, and workout tracking data, are algorithmic estimates only. These estimates are not medically validated and may not be accurate for all individuals. Estimated one-rep maximums are calculated using standard algorithmic formulas and are intended as general reference points only. Users should never attempt maximum or near-maximum lifts without the supervision of a qualified spotter or certified personal trainer. Strand Ventures, LLC makes no representations or warranties regarding the accuracy, completeness, or fitness for a particular purpose of any metric, calculation, or data provided by the Services.

Calorie targets generated by the Services are estimates only and are not intended as medical or nutritional guidance. Users with specific dietary needs, eating disorders, or underlying health conditions should consult a qualified physician or registered dietitian before following any calorie targets generated by the Services. Strand Ventures, LLC expressly disclaims all liability arising from reliance on calorie estimates generated by the Services.

Physical exercise involves inherent risks, including but not limited to muscular injury, cardiovascular stress, and other adverse health outcomes. By using the Services, users expressly and voluntarily assume all risks associated with any physical activity undertaken in connection with use of the Services. Users are strongly advised to consult a qualified physician or licensed healthcare provider before beginning any new fitness or exercise program, particularly if they have any pre-existing medical conditions.

Dune Fitness enables users to connect with independent personal trainers. Trainer credentials and certifications are self-reported and are not verified, endorsed, or warranted by Strand Ventures, LLC. Any fitness programming, instructions, or guidance provided by trainers to clients through the Services reflects the independent judgment of those trainers and does not represent the advice or recommendations of Strand Ventures, LLC. Strand Ventures, LLC expressly disclaims all liability arising from the trainer-client relationship facilitated through the Services, including any injury, illness, or adverse outcome resulting from trainer-provided programming or instructions.

To the fullest extent permitted by applicable law, Strand Ventures, LLC, its officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from or related to the use of the Services, including any injury, illness, disability, or adverse health outcome, whether resulting from use of the platform, reliance on any fitness metric or tracking data, participation in any trainer-client relationship facilitated through the Services, or reliance on any calorie target or estimated one-rep maximum generated by the Services.

By creating an account and using the Services, you expressly acknowledge that you have read, understood, and agreed to this Fitness Disclaimer and Limitation of Liability in its entirety. You further acknowledge that this disclaimer was presented to you prominently and separately during the account creation process, and that your acceptance constitutes a knowing and voluntary assumption of the risks described herein.

10. Privacy

Your use of the App is also governed by our Privacy Policy, available at dunefitness.co/privacy, which is incorporated into these Terms by reference. By using the App, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

11. Updates to Terms

These Terms of Use are effective as of the date of your acceptance and may be updated from time to time. Strand Ventures, LLC will notify users of material changes to these Terms by prompting re-acceptance within the application. Continued use of the Services following re-acceptance constitutes agreement to the updated Terms. Users who do not agree to updated Terms must discontinue use of the Services.

The following types of updates will be effective immediately upon notification, without requiring re-acceptance: updates required by court order, and updates made in response to security vulnerabilities or data protection concerns.

12. Termination

We reserve the right to suspend or terminate your account and access to the App at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the integrity of the App.

You may terminate your account at any time through the account settings in the App. Upon termination, your right to use the App will immediately cease. You may submit a data deletion request through the data request form available at dunefitness.co/privacy.

13. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or your use of the App shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

You agree to resolve any dispute with Strand Ventures, LLC on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. STRAND VENTURES, LLC DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
